These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and FluxDesk BV ("Company", "we", "us", or "our"), registered with the Dutch Chamber of Commerce under number 91812003, concerning your access to and use of the FluxDesk helpdesk software and services.

By accessing or using FluxDesk, you agree that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with these terms, you must not access or use our services.

Intellectual Property Rights

The FluxDesk software, including its source code, databases, functionality, user interface, and design elements (collectively, the "Service"), is our proprietary property and is protected by copyright and intellectual property laws.

Subject to these Terms of Service and your subscription, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or decompile the Service
• Remove any copyright or proprietary notices
• Transfer or sublicense the Service to any third party
• Use the Service to create a competing product

User Terms

Account Registration

To use FluxDesk, you must:

• Be at least 18 years old
• Register for an account with accurate information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

User Responsibilities

You are responsible for:

• All activity that occurs under your account
• Maintaining appropriate security measures
• Compliance with applicable laws and regulations
• The content and data you process through our Service

Subscription & Payment

Subscription Terms

• Subscriptions are billed monthly or annually
• Prices are in EUR for EU customers
• 14-day money-back guarantee on new subscriptions
• Automatic renewal unless cancelled

• Automatic expiration after 14 days

Data Processing & Security

Data Processing

As a data processor under GDPR, we:

• Process data only on your documented instructions
• Implement appropriate technical and organizational measures
• Assist you in fulfilling data subject rights
• Notify you of any data breaches without undue delay

Data Location

All data is processed and stored in our TIER IV datacenter in Rotterdam, Netherlands, ensuring:

• Complete data isolation per customer
• Dedicated hardware and resources
• EU data residency compliance
• Regular security audits and monitoring

Prohibited Activities

You may not use FluxDesk to:

• Violate any applicable laws or regulations
• Send spam or unsolicited communications
• Transmit malware or viruses
• Conduct unauthorized penetration testing
• Exceed usage limits or API rate limits
• Reverse engineer the Service
• Share access credentials
• Process prohibited categories of data

Limitation of Liability

To the maximum extent permitted by law:

• We provide the Service "as is" without warranties
• We are not liable for indirect or consequential damages
• Our total liability is limited to the amount paid for the Service in the last 12 months
• Force majeure events exclude liability

Termination

Termination by You

You may terminate your subscription:

• At any time through your account settings
• With effect from the end of your current billing period
• With data export options available for 30 days

Termination by Us

We may terminate your subscription:

• For violation of these Terms
• For non-payment of fees
• If required by law
• With 30 days notice for any other reason
